1. About us and this website

This website is operated by Arsuda Consulting Inc. ("Arsuda", "we", "us"), doing business as Arsuda Clinical Research and Arsuda Consulting. It describes our contracted physician site network for sponsor-funded clinical studies and our consulting services, and is intended for business and professional users. Arsuda is a site network, not a contract research organization.

2. Not medical advice; not a way to join a study

Nothing on this website is medical advice, and the website is not a way to enroll in a clinical study or to receive care. Patients should speak with their own physician. In an emergency, call your local emergency number.

3. Information only; no offer

The website is for general information. Nothing on it is an offer to provide services, a commitment to any timeline, enrollment rate, patient population or outcome, or legal, regulatory, financial or scientific advice. Any engagement is governed only by a separate written agreement signed by Arsuda and the other party, and if that agreement conflicts with these Terms, the agreement prevails.

4. Figures and forward-looking statements

Figures on the website, such as review timelines and study-startup estimates, are indicative, based on information available to us at the time, and may change without notice. Statements about future timelines or performance are estimates, not guarantees, and actual results may differ.

5. Information you send us

Please do not send confidential protocol details, or any information that identifies a patient, before a confidentiality agreement (CDA) is in place. Material you send without one is not treated as confidential unless we agree otherwise in writing. You confirm that you have the right to share anything you send us and that doing so does not breach any obligation you owe to others. Our Privacy Policy explains how we handle personal information.

6. Intellectual property

The website and its content, including text, design, graphics, illustrations, the Arsuda name and logo, and the underlying code, are owned by Arsuda or its licensors and protected by intellectual-property laws. You may view the website and print or save pages for your own internal business reference. You may not copy, modify, distribute, republish, frame or use any part of it commercially, or use the Arsuda name or logo, without our prior written permission.

7. Acceptable use

You agree not to:

• use the website in any way that breaks the law or infringes anyone's rights;
• attempt to gain unauthorized access to the website, its servers or connected systems, or test their vulnerability without our permission;
• interfere with the website's operation, including by introducing malicious code or placing an unreasonable load on it;

• misrepresent your identity or your affiliation with any person or organization when contacting us.

8. Third-party services and links

The website links to services we do not control, including LinkedIn, WhatsApp and email providers. They are governed by their own terms and privacy policies, and we are not responsible for their content, availability or practices.

We may change, suspend or withdraw any part of the website at any time without notice. We do not guarantee that the website will be available without interruption or free of errors.

To the fullest extent permitted by law, Arsuda and its directors, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or relating to your use of, or inability to use, the website, even if advised of the possibility of such damages. Our total liability for all claims relating to the website is limited to one hundred US dollars (US$100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

12. Indemnity

You agree to indemnify and hold harmless Arsuda and its directors, officers, employees and contractors from any claims, losses, liabilities and costs, including reasonable legal fees, arising from your breach of these Terms or your misuse of the website.

13. Governing law and disputes

These Terms and any dispute relating to the website are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction, and you consent to their jurisdiction. Before starting proceedings, each party agrees to try in good faith to resolve the dispute by written notice and discussion for at least 30 days.

14. Changes to these Terms

We may update these Terms. The "Last updated" date at the top shows when they last changed. Changes apply from the date they are posted; your continued use of the website after that means you accept them.

15. General

If any provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours to a successor. These Terms, together with the Privacy Policy, are the entire agreement between you and Arsuda about the website.
